These terms cover your use of Soira, a Shopify app made by Packsaddle Software, LLC, by the store that installs it. By installing the app you agree to them on behalf of your store. Hosts have their own host terms.
What the app does
Your customers can sign up to host a shopping party. Each party has a page and a link on your store. Guests shop your store through the link and pay through your normal Shopify checkout. 14 days after a party ends, the app totals its guest sales net of returns, issues the host's reward at the level the party reached, and charges its fee.
Hosts earn only on their own party. The app never rewards anyone for recruiting other hosts and has no downlines.
Your responsibilities
- Rewards are your offer to your hosts. You choose the reward levels (or keep the defaults). The app issues earned rewards for you as store credit, or as a single-use discount code where store credit isn't available. Rewards are paid by your store, and honoring rewards hosts have earned is your obligation, including if you uninstall the app while parties are running or waiting to settle.
- Taxes. Rewards may be taxable income for hosts. Any tax reporting about rewards, and any sales tax effects of discounts, are yours to handle. Soira doesn't give tax, legal or accounting advice.
- Suspected fake guests. The app flags orders that look like the host's own. Flagged orders count only if you approve them.
- Hosts are adults. Hosts must be 18 or older; the app asks them to confirm it at sign-up.
- You're responsible for complying with the consumer, promotion and tax laws that apply to your store.
Billing
Soira is free to install. You approve one $0 recurring plan with a usage cap through Shopify. You pay only when a party reaches a host reward: 4% of that party's guest sales ($6 minimum, $99 maximum per party). No parties, or parties below the reward minimum, cost nothing. Your first party that reaches a reward is free. A party reaches a host reward when its guest sales, net of returns, are $150 or more; parties below that cost nothing. Your store's first party that reaches a host reward is free; uninstalling and reinstalling doesn't give the store another free party (we keep a one-way hash of your store's domain for this; the privacy policy lists the only other thing kept under it, monthly totals with no personal data). The host's own orders never count. Each fee is charged 14 days after its party ends and appears on your Shopify bill.
The default cap is $500 per 30-day billing cycle. At 80% of the cap we'll ask you, in the app and by email, to approve a higher cap. If the cap is reached, running parties finish normally and new parties wait until you raise the cap or the next cycle begins. You can raise the cap from the app at any time.
Data processing
When you install the app, you are the controller of your store's customer data and Packsaddle Software, LLC processes it on your behalf, only to run your parties: party pages and links, totals, rewards, party emails and reporting to you. We process the minimum data needed (described in our privacy policy), never sell it, never use it for advertising, and use only Cloudflare and Shopify to store and process it. We encrypt it in transit and at rest, limit access to people who need it to support you, and delete it when Shopify tells us your store or a customer's data must be removed. If we learn of a breach affecting your store's data, we'll tell you without undue delay. You're responsible for having a lawful basis to share your customers' data with the app and for telling your customers about it in your own privacy policy.
Accuracy and limits
Party totals count only tracked orders, and exclude the host's own orders, cancellations and returns. The app is provided "as is". To the extent the law allows, Packsaddle Software, LLC's total liability for any claim is limited to the fees you paid us in the three months before the claim, and we aren't liable for indirect or consequential losses.
Ending
You can uninstall at any time. Rewards and fees already issued stay issued. Once uninstalled, the app can't finish parties or issue rewards, so rewards earned by then are yours to honor. Settings lists every party that isn't finished. We may suspend the app for misuse.
Shopify
These terms are between you and Packsaddle Software, LLC. Shopify is not a party to them and is not responsible for Soira, its support, or anything it does in your store. As between you, us and Shopify, Packsaddle Software, LLC, not Shopify, is solely responsible for any liability arising from your access to or use of Soira, subject to the limits in these terms. Your use of Shopify itself is governed by your agreement with Shopify.
Law
These terms are governed by the laws of the State of North Carolina, USA, and any dispute will be heard in its state or federal courts.
